TEMRS AND CONDITIONS

Gospl.chat, operated by Reveris, Inc., a California corporation, is an online platform for you, Gospl’s user (“You”), to send and receive private messages and data using a secure network infrastructure of private servers (collectively “Products”). 

These Terms and Conditions (“Terms”) govern your use of and interaction with Gospl’s website (the “Site”), the use of the Products, and any communications from Gospl to You.  The Terms also incorporate by reference Gospl’s Privacy Policy, which may be found a thttps://gospl.chat/privacy-policy.

PLEASE READ THESE TERMS.  IF YOU DO NOT ACCEPT THESE TERMS, YOU ARE NOT AUTHORIZED TO ACCESS OR USE THIS SITE OR UTILIZE THE SERVICES AND/OR PRODUCTS FOUND HEREIN, You are agreeing to these Terms and Gospl’s Privacy Policy.  These Terms and the Privacy Policy constitute a binding agreement between Gospl and You.  

1. Changes to These Terms and Products

Gospl reserves the right to revise, change, modify, or remove any of these Terms, the Privacy Policy, and/or any of the Products offered (“Changes”).  Any Changes may be at any time and without notice, in Gospl’s sole discretion. In the event that You do not agree with any of the Changes, You will no longer be able to use the Products.  Any use of the Products after Gospl posts Changes constitutes acceptance of the same. 

2.  Restrictions on Use of the Site and Products

a.  As a condition of your use of the Site and Products, You will not use the Site for any purpose that is unlawful or prohibited by these Terms, conditions, and/or any notices that Gospl may post or send to You. You may not use the Site in in any way that could damage, disable, overburden, and/or impair the Site or interfere with Gospl’s use, or any other party’s use and enjoyment of the Site, including but not limited to the posting of discriminatory, harassing, threatening, obscene, or defamatory content. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided through by Gospl through the Site or otherwise, including but not limited to, the following activities: providing false or misleading registration information; disclosing your username or password to anyone; using an account, username, password, or personal information of another user; collecting information about any users of the Site; transmitting or facilitating the transmission of any “spam” in connection with the Site; using any robot, spider, crawler, scraper site search/retrieval application or automatic device to retrieve, index, “data mine” or in any way reproduce or circumvent the navigational structure or presentation of the Site or any content or information on the Site; modifying the content, programs or other materials on the Site; hacking into the Site or Gospl’s servers; framing or mirroring any part of the Site; reverse engineering, decompiling, disassembling, translating or otherwise altering any portion of the Site; uploading to the Site viruses, Trojan horses, worms, time bombs, or other computer programs that are intended to damage the Site. Gospl reserves the right to remove any content at any time in its sole discretion. 

b.  Children under the age of 18 are prohibited from using the Products.  By accepting these Terms, You are representing that You are of the legal age to enter into legally binding agreements with Gospl in your applicable jurisdiction. 

c.  If You are agreeing to these Terms on behalf of a business, company, organization, or other entity (“Business”), You represent and warrant that You are authorized to agree to these Terms on that Business’s behalf and bind them to these Terms, in which case, the references to “you” and “your” in these Terms, except for in this sentence, refer to that Business.

3. Account and Account Usage

You represent and warrant that You will only use the Site and Products in a manner that complies with all applicable federal and state laws within the jurisdiction that You are using the Site and Products.  Gospl is not responsible for any violations by You of any federal or state laws including but not limited to the following.

(i) Infringes, misappropriates, or violates the intellectual property rights or any other rights of anyone else (including Gospl);

(ii) Violates, or encourages any conduct that would violate, any law or regulation (federal, state, municipal, or otherwise);

(iii) Is harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, or otherwise objectionable per the sole discretion of Gospl;

(iv) Promotes discrimination, bigotry, racism, hatred, harassment or harm against any individual or group or promotes illegal or harmful activities or substances; 

(v) Jeopardizes the security of your Gospl account or anyone else’s account;

(vi) Attempts, in any manner, to obtain the password, account, or other security information from any other user;

(vii) Violates the security of any computer network, or cracks any passwords or security encryption codes;

(viii) Collects or stores any personally identifiable information from the Products from other users of the Products without their express permission.

4. Intellectual Property

The Site and the information, trade names, trademarks, service marks, logos, computer code, copyright, and related functionality appearing, featured or otherwise, including but not limited to, text, graphics, data, articles, photos, images, and illustrations, displayed on the Site (collectively “Content”), are owned by Gospl, its affiliates, and its respective licensors.  Proper use is limited to use in connection with the products and services of the mark owner and no other use is permitted without Gospl’s prior written permission.  Any unauthorized use of the Site or its text, images, audio, and video may violate copyright laws, trademark laws, the laws of privacy and publicity, and civil and criminal statutes.  You may not use any mark appearing on this Site.  You may not remove, obscure, or otherwise deface proprietary notices appearing on the Site, or any content or information.  You may not copy, modify, upload, republish, distribute, display, post, license, create derivative works from, or transmit anything You obtain from the Site, including anything You download from the Site, unless You first obtain our written consent or as permitted for personal use as described above.  Any rights not expressly granted herein are reserved to Gospl and its affiliates. You agree to abide by all copyright notices, trademark rules, information, and restrictions contained in any Content not owned by You, (i) without the prior consent of the owner of that Content or (ii) in a way that violates anyone’s rights. 

5. Responsibilities, Liabilities, and Third-Parties

Any information or content transmitted through the Products is the sole responsibility of the person from whom such content originated, and You access all such information and content at your own risk. Gospl is not liable for any errors or omissions in that information or content or for any damages or loss you might suffer in connection with it. Gospl cannot control, and You agree that Gospl has no duty to take any action regarding how You use the Content, and You hereby release Gospl from any and all liability for You having acquired or not acquired Content through the Products.

Gospl does not guarantee the identity of any users with whom You interact in using the Products, and Gospl is not responsible for which users gain access to the Products.

The Products may contain links or connections to third party websites or services that are not owned or controlled by Gospl. When You access third party websites or use third party services, you accept that there are risks in doing so, and that Gospl is not responsible for such risks in any way.  Gospl has no control over, and assumes no responsibility for, the content, accuracy, privacy policies, or practices of or opinions expressed in any third-party websites or by any third- party that you interact with through the Products. In addition, Gospl will not and cannot monitor, verify, censor or edit the content of any third-party site or service. By using the Products, You release and hold Gospl harmless from any and all liability arising from your use of any third-party website or service.

Your interactions with third-parties found on or through the Products, including payment and delivery of goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between You and such third-parties. You agree that Gospl shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings. If there is a dispute between participants on this Site, or between users and any third-party, you agree that Gospl is under no obligation to become involved. 

Waiver and Release of Claims against Gospl 

In the event that you have a dispute with one or more other users, You waive and release Gospl and Reveris, Inc., its directors, officers, employees, agents, and successors from claims, demands, and damages of every kind or nature, known or unknown, suspected or unsuspected, disclosed or undisclosed, arising out of or in any way related to such disputes and/or our Products. 

California Specific – Waiver of Protections of Civil Code Section 1542 

If You are a California resident or otherwise subject to the laws of California, then you shall and hereby do waive California Civil Code Section 1542, which says: “A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which, if known by him must have materially affected his settlement with the debtor.”  By your waiver of Civil Code section 1542, You expressly agree that you are releasing any known and unknown claims as set forth above.

6.   Warranty Disclaimer. 

a.  Gospl does not make any representations or warranties concerning any content contained in or accessed through the Products, and Gospl will not be responsible or liable for the accuracy, copyright compliance, legality, or decency of material contained in or accessed through the Products. You acknowledge and agree that Gospl and its licensors or suppliers will not be responsible for any losses (including loss of revenue, profits, anticipated savings, goodwill or business opportunity, or any injury or damage to property, people or reputation) incurred due to a delay in delivery or any damages to the Premises as a result of the delivery. TO THE FULLEST EXTENT PERMITTED BY LAW, THE PRODUCTS ARE PROVIDED BY GOSPL ON AN “AS-IS” BASIS, WITHOUT REPRESENTATIONS OR WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE, THAT USE OF THE PRODUCTS WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THE QUALITY, ACCURACY, TIMELINESS, TRUTHFULNESS, COMPLETENESS OR RELIABILITY OF ANY INFORMATION OR CONTENT ON THE SERVICES.

b. Limitation of Liability. GOSPL’S ENTIRE LIABILITY AND YOUR EXCLUSIVE REMEDY WITH RESPECT TO ANY SUBJECT MATTER OF THESE TERMS SHALL BE NO MORE THAN $10.00 USD, IN NO EVENT SHALL GOSPL OR ITS LICENSORS OR SUPPLIERS BE LIABLE FOR ANY INDIRECT DAMAGES, PUNITIVE DAMAGES, LOST PROFITS, LOST REVENUES, LOST SAVINGS, LOST BUSINESS OPPORTUNITY, LOSS OF DATA OR GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE OR SYSTEM FAILURE, COST OF PROCUREMENT OF SUBSTITUTE PRODUCTS, OR ANY INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OR INABILITY TO USE THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF GOSPL OR ITS LICENSORS OR SUPPLIERS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION AND EXCLUSION MAY NOT APPLY TO YOU. THE TOTAL LABILITY OF GOSPL OR ITS LICENSORS OR SUPPLIERS WILL NOT EXCEED, IN THE AGGREGATE, THE FEES ACTUALLY PAID BY YOU TO GOSPL UNDER THIS AGREEMENT. GOSPL SHALL NOT BE RESPONSIBLE FOR ANY MATTER BEYOND ITS REASONABLE CONTROL. THE EXCLUSIONS AND LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN GOSPL AND YOU. 

7.  Arbitration.

a.  Mandatory Arbitration of Disputes. You and Gospl agree that any dispute, claim or controversy arising out of or related to your use of the Products; these Terms; or the breach, termination, enforcement, interpretation, or validity thereof, including any dispute relating to these arbitration provisions themselves, will be resolved through final and binding individual arbitration by a single arbitrator and not in a class, representative, or consolidated action or proceeding, except as set forth under the “Exceptions to agreement to arbitrate” below. This includes disputes arising out of or relating to interpretation or applicability of this “Arbitration” section, including its enforceability, revocability, or validity. This arbitration provision shall survive termination of these Terms.

b.   Arbitration procedures. The American Arbitration Association (AAA) will administer the arbitration under its Consumer Arbitration Rules. The arbitration will be held in the county of the State where You live, unless Gospl and you agree to another location or to desk arbitration.

c.  Arbitration Costs. The AAA rules will govern payment of all arbitration fees.

d.  Injunctive and Declaratory Relief. Except as provided below, the arbitrator shall determine all issues of liability on the merits of any claim and may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim. To the extent that either party seeks public injunctive relief (that is, injunctive relief that has the primary purpose and effect of prohibiting unlawful acts that threaten future injury to the public), the entitlement to and extent of such relief must be litigated in a civil court of competent jurisdiction and not in arbitration. The parties agree that litigation of any issues of public injunctive relief shall be stayed pending the outcome of the merits of any individual claims in arbitration.

e.  Exceptions to Agreement to Arbitrate. Notwithstanding the mandatory arbitration agreement above, either You or Gospl may (1) assert claims, if they qualify, in a small claims court of competent jurisdiction; or (2) bring an individual action seeking only injunctive or other equitable relief from a court to prevent or stop unauthorized use or abuse of the Products or infringement or misappropriation of intellectual property without first engaging in arbitration described above. If the agreement to arbitrate is found not to apply to You or your claim, You agree to the exclusive jurisdiction of the California Superior Court in Los Angeles County and the federal courts of the Central District of California to resolve your claim.

f.  No Class Actions or Class Arbitrations. You may only resolve disputes with Gospl on an individual basis and may not bring a claim as a plaintiff or class member in a class, consolidated, or representative action. Class arbitrations, class actions, private attorney general actions, and consolidation with other arbitrations are not allowed.

8.  Indemnification. 

To the fullest extent allowed by applicable law, You agree to indemnify and hold Gospl, its affiliates, successors, parent companies, subsidiaries, officers, directors, members, managers, agents, employees, and partners harmless from and against any and all claims, liabilities, damages (actual and consequential), losses and expenses (including attorneys’ fees) arising from or in any way related to any third-party claims relating to (a) your access to or use of the Products (including any actions taken by a third-party accessing or using your account), and (b) your violation of these Terms. In the event of such a claim, suit, or action (“Action”).  Gospl will provide notice of the Action to You of any Action through the contact information You provided for your account.  Any failure of delivery of such notice shall not eliminate or reduce your indemnification obligations stated herein. You shall indemnify and hold Gospl harmless against any and all claims, demands, damages, losses, liabilities, costs, attorney’s fees and expenses made against or sustained by Gospl arising from your use of the Products.

9.  California Specific—Complaints.    

For California residents, in accordance with Civil Code section 1789.3, You may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by contacting them in writing at 1625 North Market Blvd., Suite N, 112 Sacramento, CA 95834, or by telephone at (800) 952-5210.

10.   Assignment. 

You may not assign, delegate or transfer these Terms or your rights or obligations hereunder, or your Products account, in any way without Gospl’s prior written consent.  Gospl may transfer, assign, or delegate these Terms and our rights and obligations without your consent. These Terms will bind and inure to the benefit of the parties, their successors and permitted assigns.

11.   Choice of Law. These Terms are governed by and will be construed solely and exclusively under the laws of the State of California, without regard to the conflicts of law provisions thereof or of any other State or jurisdiction.

12.  Severability.

If any provision of these Terms is found to be unenforceable or invalid by an arbitrator or a court of competent jurisdiction, that provision will be limited or eliminated, or enforced to the maximum extent allowed so that these Terms (including, for the avoidance of doubt, the Addendum) shall otherwise remain in full force and effect and enforceable. 

13. Notices.

Any notices or other communications provided by Gospl under these Terms may be given: (i) via email; (ii) by posting to the Products; or (iii) by any other means chosen by Gospl in its sole discretion. For notices made by email, the date of receipt will be deemed the date on which such notice is transmitted.

14. Entire Agreement. 

These Terms and the Privacy Policy constitute the entire and exclusive understanding and agreement between Gospl and You regarding your use of the Products, and these Terms supersede and replace any and all prior oral or written understandings or agreements between Gospl and You regarding the use of the Products. This notwithstanding, some parties to these Terms may additionally enter into other agreements with Gospl that modify or extend the provisions of these Terms. In such cases the various agreements between the parties should be read in conjunction. If any provision of these Terms is held invalid or unenforceable by an arbitrator or a court of competent jurisdiction, that provision will be enforced to the maximum extent allowable and the other provisions of these Terms will remain in full force and effect.
